ONLINE AUCTION TERMS & CONDITIONS
1. SELLER CONFIRMATION AUCTION
This property is being offered at public online auction subject to Seller confirmation.
Each bid constitutes an offer by the Bidder to purchase the property pursuant to these Terms and Conditions. The highest bid is subject to acceptance or rejection by the Seller.
Upon completion of the auction, the highest bid will be presented to the Seller for approval. No sale shall be final until the Seller has accepted the Successful Bidder's offer.
2. BIDDING REGISTRATION
All bidders must be properly registered through the online bidding platform before placing a bid.

Seller and/or Auctioneer reserve the right, in their sole discretion, to require additional information, identification, proof of funds, or other registration requirements from any prospective bidder.
By registering and/or placing a bid, Bidder acknowledges that Bidder has read, understands, and agrees to this Auction Bidders Agreement and all Terms and Conditions of the auction.
3. BIDDING OPENS / CLOSES
Online bidding opens Friday, September 4, 2026 at 11:00 AM (EST).
Online bidding begins to close Monday, October 5, 2026 at 11:00 AM (EST), subject to the Soft Close provisions contained in Paragraph 16.
4. PROPERTY INSPECTIONS
Property previews will be held:
Saturday, September 12, 2026 at 10:00 AM SHARP
Saturday, September 26, 2026 at 10:00 AM SHARP
Saturday, October 3, 2026 at 10:00 AM SHARP
It is highly recommended that all bidders personally inspect the property prior to placing any bid.
Property inspections and all investigations concerning the condition and suitability of the property are the sole responsibility of the Bidder.

5. NO FINANCING CONTINGENCY
The purchase of the property is NOT contingent upon the Buyer's ability to obtain financing.
By placing a bid, Bidder acknowledges that the bid is the equivalent of a cash offer and that financing is not a contingency of the Purchase Contract.
Buyer may obtain financing at Buyer's election; however, Buyer's inability or failure to obtain financing shall not relieve Buyer of the obligation to complete the purchase or entitle Buyer to the return of the earnest money deposit.
Any Bidder intending to finance the purchase should obtain loan approval prior to bidding and confirm that the lender is capable of completing the transaction on or before the required closing date.
There shall be no Buyer conditions or contingencies to the sale of the Real Property except that Seller shall deliver good and marketable title in accordance with the Purchase Contract.
6. BUYER'S PREMIUM
A Ten Percent (10%) Buyer's Premium will be added to the Successful Bidder's high bid to determine the Total Contract Sales Price.
Bidder understands and agrees that the Buyer's Premium is part of the purchase price for which Buyer will be contractually obligated.
Example: Winning Bid: $100,000 + 10% Buyer's Premium of $10,000 = Total Contract Sales Price of $110,000.
7. REAL ESTATE AUCTION PURCHASE CONTRACT
Upon Seller's acceptance of the Successful Bidder's offer, the Successful Bidder agrees to execute the Real Estate Auction Purchase Contract approved by the Seller.
The executed Purchase Contract must be received by Lucky Dog Auction & Realty no later than twenty-four (24) hours after the Purchase Contract is sent to the Successful Bidder.
The Purchase Contract may be electronically signed, hand delivered, or signed, scanned, and emailed.
A sample Real Estate Auction Purchase Contract will be available for review online prior to bidding.
Bidder acknowledges that Bidder has had the opportunity to review the Purchase Contract prior to placing a bid and agrees to execute the Purchase Contract if declared the Successful Bidder and the bid is accepted by Seller.
8. EARNEST MONEY DEPOSIT
Upon Seller's acceptance of the Successful Bidder's offer, Buyer shall deliver a $10,000 earnest money deposit to Lucky Dog Auction & Realty no later than forty-eight (48) hours following Seller's acceptance.
The deposit shall be made by wire transfer or hand-delivered certified funds.
The earnest money deposit will be credited toward the Total Contract Sales Price at closing.
The deposit shall be non-refundable in the event of Buyer's default, including Buyer's inability or failure to obtain financing.
The remaining balance of the Total Contract Sales Price shall be due in full at closing.
9. SELLER ACCEPTANCE
Upon completion of the auction, the Successful Bidder's offer will be presented to the Seller for acceptance or rejection.
The property is being sold subject to Seller confirmation, and Seller reserves the right to accept or reject the high bid.
10. EASEMENTS
The property is being sold subject to any and all easements, restrictions, rights-of-way, covenants, conditions, and other matters of record affecting the property.
11. SURVEY
Seller shall not be required to provide a new or additional survey of the property.
If Buyer desires a survey, the survey shall be obtained at Buyer's sole cost and expense.
Obtaining a survey shall not be a contingency of the Purchase Contract or delay the required closing.
12. POSSESSION
Possession of the property shall be delivered to Buyer upon payment in full of the purchase price and transfer and recording of title at closing, unless otherwise specifically provided in the Purchase Contract.
13. DEED
Seller shall convey the property to Buyer by General Warranty Deed, subject to the terms and conditions of the Purchase Contract and matters of record affecting the property.
14. TAXES AND PRORATIONS
Seller shall be responsible for any previous year's real estate taxes that remain due.
Current year's real estate taxes and any other applicable periodic realty costs shall be prorated as of the date of closing.
Seller shall be responsible for such prorated expenses through and including the date of closing, and Buyer shall be responsible for such expenses following the date of closing.
15. ONLINE AUCTION TECHNOLOGY DISCLAIMER
Online bidding is subject to internet connectivity, software, hardware, server, and other technological issues that may be outside the control of Lucky Dog Auction & Realty, Inc.
Under no circumstances shall Bidder have any claim against Lucky Dog Auction & Realty, Inc., Auctioneer, or Seller because of a failure, interruption, delay, malfunction, or other problem involving the internet, online bidding platform, Bidder's equipment, or other technology.
Bidders are strongly encouraged to utilize the Maximum Bid feature available through the online bidding platform if they are concerned about internet or technology failure near the close of the auction.
Seller and/or Auctioneer reserve the right to pause, extend, postpone, reopen, or otherwise modify the online bidding process in the event of an internal or external technology failure or other circumstance when Auctioneer determines such action is reasonably necessary to preserve the integrity and fairness of the auction.
16. SOFT CLOSE
This auction utilizes a two-minute Soft Close.
If a bid is received within the final two (2) minutes of the auction, the auction closing time will automatically extend for an additional two (2) minutes.
Each subsequent bid received during an extension period will result in an additional two-minute extension.
Bidding will remain open until no additional bids have been received during the final two-minute period.
The Soft Close feature is intended to prevent last-second bid "sniping" and provide all bidders with a fair opportunity to competitively bid.
17. PROPERTY DISCLAIMER / AS-IS, WHERE-IS
All information provided by Seller, Auctioneer, Lucky Dog Auction & Realty, Inc., or their representatives is believed to be accurate; however, no liability for its accuracy, errors, or omissions is assumed.
All information should be independently verified by Buyer and/or Buyer's agents prior to bidding.
Any property lines shown on maps, photographs, aerial images, advertisements, or other marketing materials are approximate and are provided for informational purposes only.
The property is being sold AS-IS, WHERE-IS, with no warranties or guarantees, expressed or implied, except as may be expressly stated in the Purchase Contract.
It is the responsibility of each Bidder to conduct all inspections, investigations, and due diligence deemed necessary prior to bidding.
By participating in this auction, Bidder acknowledges and agrees that each bid placed constitutes a binding offer to purchase the property pursuant to these Terms and Conditions, subject to Seller's acceptance of the bid.
18. BUYER'S BROKER PARTICIPATION – IMPORTANT
BROKER COMPENSATION IS 2% OF THE BUYER'S OPENING BID – NOT THE FINAL BID, HIGH BID, OR TOTAL CONTRACT SALES PRICE.
A Buyer's Broker/Agent may be eligible to receive a broker participation fee only if all requirements established by Lucky Dog Auction & Realty, Inc. are satisfied.
The Buyer's Broker/Agent must contact Lucky Dog Auction & Realty and submit a completed Broker Participation Form signed by the Buyer no later than 5:00 PM on Friday, October 2, 2026.
The Buyer's Broker/Agent must personally accompany and be present with the Buyer at a property showing or inspection prior to the Buyer placing a bid. Broker/Agent attendance and participation are required for eligibility for the Broker Participation Fee.
If the required Broker Participation Form and other required information are not received by the deadline, or if the Broker/Agent does not satisfy the attendance requirement above, NO BROKER PARTICIPATION FEE WILL BE PAID.
Broker/Agent compensation shall equal two percent (2%) of that Broker/Agent's client's OPENING BID in the auction.
For purposes of this provision, the "Opening Bid" means the first bid actually placed by that Buyer in the online auction.
Example: If a registered Buyer represented by a properly registered Broker places an opening bid of $200,000 and ultimately becomes the Successful Bidder at $300,000, the Broker Participation Fee will be calculated as 2% of the $200,000 opening bid ($4,000), NOT 2% of the $300,000 final bid.
The Broker Participation Fee is based solely upon the Successful Buyer's Opening Bid and will not increase as the Buyer places additional or higher bids.
No Broker Participation Fee will be earned or paid unless the registered Buyer is the Successful Bidder, Seller accepts the Buyer's offer, the transaction successfully closes, and all broker participation requirements have been timely satisfied.
19. RECORDING FEES
Buyer shall be responsible for the cost of recording the deed and any other recording fees attributable to Buyer or Buyer's financing.
20. SETTLEMENT FEES AND EXPENSES
Buyer shall be responsible for Buyer's settlement fees and expenses, including, without limitation, title searches, title insurance charges, survey costs, lender fees, lender requirements, and other expenses incurred by Buyer in connection with the purchase and closing.
21. ZONING AND LAND USE
Each Bidder is solely responsible for making any inquiries, inspections, and investigations necessary to determine the zoning classification, land-use restrictions, governmental regulations, permitted uses, availability of utilities, and any other restrictions or requirements affecting the property.
The purchase of the property shall not be contingent upon zoning, land use, governmental approval, or Buyer's ability to use the property for any particular purpose.
Any representations or statements made by or on behalf of Seller regarding zoning or land-use restrictions are believed to be true and correct to the best of Seller's knowledge and belief; however, Buyer is responsible for independently verifying such information prior to bidding.
22. BIDDING INCREMENTS, BIDDING DISPUTES AND AUCTIONEER'S AUTHORITY
Auctioneer reserves the right, in Auctioneer's sole discretion, to establish, change, increase, decrease, or otherwise adjust bidding increments at any time during the auction.
Auctioneer shall have the authority to resolve any dispute concerning bidding, determine the Successful Bidder, reject or disregard bids determined to be erroneous or improper, and take such other reasonable actions as Auctioneer determines necessary to preserve the integrity and fairness of the auction.
In the event of a bidding dispute, technology failure, mistake, or other circumstance affecting the integrity of the auction, Auctioneer may pause, extend, reopen, or continue bidding as Auctioneer determines appropriate, subject to applicable law.
Auctioneer's decisions regarding bidding increments, bidding disputes, and the conduct of the auction shall be final, subject to applicable law.
23. BUYER DEFAULT
If Buyer fails or refuses to execute the Real Estate Auction Purchase Contract, timely deliver the required earnest money deposit, close the transaction as required, or otherwise fails to perform Buyer's obligations after Seller's acceptance of Buyer's offer, Buyer shall be considered in default.
In the event of Buyer's default, the earnest money deposit may be forfeited as provided in the Purchase Contract, and Seller shall retain any additional rights or remedies available under the Purchase Contract or applicable law.
Buyer's inability or failure to obtain financing shall not constitute grounds for cancellation and shall not relieve Buyer of Buyer's contractual obligations.
24. BIDDER ACKNOWLEDGMENT
By registering for this auction and/or placing a bid, Bidder acknowledges and agrees that:
• Bidder has read and fully understands this Auction Bidders Agreement and the Terms and Conditions of the auction;
• Bidder has had the opportunity to inspect the property and conduct all desired due diligence prior to bidding;
• Bidder has had the opportunity to review the sample Real Estate Auction Purchase Contract prior to bidding;
• Bidder understands that the property is being sold AS-IS, WHERE-IS and subject to Seller confirmation;
• Bidder understands that there is NO financing contingency;
• Bidder understands that a 10% Buyer's Premium will be added to the high bid to determine the Total Contract Sales Price;
• Bidder understands that, upon Seller's acceptance, the Successful Bidder will be required to execute the Real Estate Auction Purchase Contract and timely deliver the required $10,000 earnest money deposit; and
• Bidder understands that bids placed in this auction constitute binding offers to purchase the property subject to Seller's acceptance.
It is solely the Bidder's responsibility to contact Lucky Dog Auction & Realty, Inc. with any questions concerning the property, auction procedures, Purchase Contract, or Terms and Conditions BEFORE PLACING A BID.
